1. The Fantasy Friends Website and App
1.1. The Website, App, and Services are owned and operated by Fantasy Friends, a Singaporean company. 1.2. The services include all products, offerings, games, and features, offered by Fantasy Friends through the Website and App (“Services”). Through the Website and App, you can leverage blockchain technology and featured creators to compete for various prizes, rewards, and points. 1.3. The Website and App may contain links or content from services not operated by Fantasy Friends that provide additional content or features such as payment services, the purchase and sale of digital assets in legal tender, digital asset wallets as well as player data and third-party collectible marketplaces (“Third-Party Services”). Whether or not integrated into the Website and/or App, these Third-Party Services are provided under the terms of use and privacy policy of the relevant third-party provider, under that provider’s sole responsibility. Fantasy Friends is not responsible or liable for the availability or accuracy of the Third-Party Services, or the services, products, or content available from the Third-Party Services. Links to or use of any Third-Party Services are not an endorsement by Fantasy Friends of such Third-Party Services. Please consult the relevant Third-Party Service’s terms and conditions and/or privacy policy for more information.
2. Account
2.1. Account Creation. Fantasy Friends is free to use. To sign up for a User account, you must provide: An X (previously “Twitter”) account; a cryptocurrency wallet. Additionally, you can provide an email address to get early access to Fantasy Friends offers, opportunities, and alpha. When creating a User account, you must agree to these Terms, and by doing so you represent and warrant that you (i) are eighteen (18) years old or older; (ii) agree to these Terms and Conditions; (iii) will use the Website, App, and/or Services in compliance with these Terms and any applicable law, rule or regulation; and (iv) you are not located in a country that the U.S. government, European Union and/or United Nations has placed embargo restriction on and you are not on the U.S. government, European Union or United Nations list of restricted parties or persons (including being a Specially Designated National by the U.S. government). For the avoidance of doubt, you shall not use or access the Website or Services at any time from a country that the U.S. government, European Union and/or United Nations has placed embargo restriction on or if you are added to the U.S. government, European Union or United Nations list of restricted parties or persons (including being a Specially Designated National by the U.S. government). 2.2. Account Use. The Website, App, User accounts and Services are free for individual, non-commercial, personal use. You shall not sign up on behalf of or act in coordination with another individual, group of individuals and/or a company. 2.3. Prohibited Account Uses. 2.3.1. Multiple Accounts. You may not create more than one User account and/or manage the User account(s) of other Users (even if given explicit permission by such Users). Only a natural person can create an account, and partnerships, joint ventures, and/or corporate accounts are prohibited. 2.3.2. Associating Accounts. You may not collude with or otherwise act in association or conjunction with other User accounts, whether formally or informally, in order to attempt to circumvent or circumvent these Terms; attempt to create or create an unfair competitive advantage and/or other unfair or artificial advantage in the Game; or attempt to unfairly or otherwise artificially influence Collectible value, including but not limited to through directing other Users regarding actions on such Users’ respective User Account, lending, trading, buying, repeatedly selling and/or selling Collectibles below market value. 2.3.3. Account Re-creation. You may not create a User Account if your User account has been temporarily suspended or if we have permanently deleted a User Account associated with you in the past.
3. Fantasy Games
3.1. You may test your social skills and knowledge by composing teams of your creators and then entering your team in a virtual tournament. The virtual tournament tracks the real performance of the individual players you’ve added to your dream team (the “Game”). 3.2. Participation in the Game is governed by the rules available here: www.FantasyFriends.xyz .
4. Referral Program
You may refer other users to the Fantasy Friends website by participating in the referral program (the “Referral Program”), governed by the Referral Program Terms.
5. Your Information, Content, and Feedback
5.1. Your Information. Please keep your User account information up to date. Note that pursuant to legal and/or regulatory requirements, we might request more information from time-to-time. We will contact you via your User account or the email associated with your User account if this is the case. 5.2. Your Content. You hereby grant and/or agree to grant to Fantasy Friends the transferable, sub-licensable, free of charge, global right to exclusively use, copy, distribute, adapt, creative derivative works, reproduce, distribute, modify, translate, and otherwise exploit, any content you produce when using the Services (including but not limited to username, comments, team composition, team name, etc.) (“Content”), by any present or future process and by any means of distribution on the Website, social networks, or media (such as TikTok, Facebook, X, Instagram, Reddit, Youtube, etc.) or platforms (such as YouTube), e-banners and promotional emails or newsletter and on Fantasy Friends intranet or in its internal documentation, whether in whole or in part, and whether as provided or as modified, for commercial or promotional purposes. 5.3. Your Feedback. We invite you to send us any feedback, comments, suggestions or ideas you have regarding the Website and/or the Services (“Feedback”) via X, Telegram, or other social media platform. When you send us Feedback, you agree to grant FANTASY FRIENDS a transferable, sub-licensable, free of charge, worldwide and for the legal duration of the potential property rights in your Feedback, right to use, copy, distribute, adapt, create derivative works, reproduce, distribute, modify, translate, make publicly available or publicly display your Feedback, by any present or future process and by any means of distribution on the Website, social networks or media (such as TikTok, Facebook, X, Instagram, Reddit, etc.) or platforms (such as YouTube), e-banners and promotional emails or newsletter and on Fantasy Friends intranet or in its internal documentation, whether in whole or in part, and whether as provided or as modified, for commercial or promotional purposes.
6. Fantasy Friends's Content
6.1. Proprietary Content. The Website and the Services, including but not limited to its proprietary content, information, design (including the “look and feel” of the Website, app, or Services) logos, text, graphics, images, icons, data, software, algorithms and scripts are and will remain the proprietary property of Fantasy Friends and our affiliates (and licensors, where applicable) (“Proprietary Content”). Any unauthorized extraction or reproduction of the Fantasy Friends database is prohibited. 6.2. Nothing in these Terms should be construed as granting you any property, patent, or other right in the Proprietary Content. You may not copy, imitate, or use, in whole or in part, any of the Proprietary Content without prior written permission from Fantasy Friends. For the avoidance of doubt, you may not use the Proprietary Content to promote third-party products and services without prior written permission from Fantasy Friends. 6.3. Use of Fantasy Friends does not confer any ownership or other rights in the Proprietary Content, content, code, data or other materials or over Fantasy Friends’s rights and/or Third-Party Rights that may be associated with the Services.
7. Security
Fantasy Friends has implemented and maintains measures to protect the confidentiality, security, and integrity of your User account and Personal Data against unauthorized access and disclosure, modification, alteration, damage, accidental loss or accidental or illicit destruction, as well as against any other form of unauthorized processing or disclosure. We recommend you observe security best practices, including storing your account information securely and not sharing account information. Please note that our backup services will not make a backup of your data to your personal, local storage or drive; we recommend you use a secondary backup source and/or other best practices for the preservation of data. Additionally, we recommend you enable two-factors-authentication, choose a strong password and/or use a password manager for any and all password protected features of your User account and your User account itself. Fantasy Friends recognizes the importance and value of security researchers’ efforts in helping keep our community safe.
8. Prohibited Website, App and Services Use
8.1. Fantasy Friends wants the Website, App, and Services to be inclusive places where fans of all social and teams across the globe can engage with their favorite social and each other. In connection with the Website, App, and Services, including your User account, the Game and/or the Marketplace, you shall not: 8.1.1. post or otherwise create material that is misleading, suspicious and/or that intends to defraud or confuse other Users; 8.1.2. post or otherwise create material that is abusive, obscene, pornographic, defamatory, harassing, offensive, vulgar, threatening, or malicious or infringing on privacy or publicity rights, inciting violence, racial or ethnic hatred or which may be described as gross indecency or incitement to commit certain crimes or offences. 8.1.3. interfere with, disrupt, or attempt to gain unauthorized access to any other Users’ accounts, other Users’ Wallets and/or computer networks; 8.1.4. use or attempt to use or access another User’s account; 8.1.5 use a Fantasy Friends username to represent that you work for the company; 8.1.6. impersonate any person or entity or misrepresent your affiliation with another person or entity; 8.1.7. conduct transactions that are suspicious, fraudulent, or otherwise disruptive of the normal functioning of the Services; 8.1.8. use any non-public information in connection with the Services and/or any transactions. 8.2. Additionally, and in order to maintain the integrity and proper functioning of the Website, App and the Services, there are certain restrictions regarding what you can do when visiting the Website, App, or while using your User account. In connection with the Website, App, the Services, your user account, the Game and/or the Marketplace, you shall not: 8.2.1. access (or attempt to access) any non-public areas of the Website or App; 8.2.2. interfere with any access or use restrictions, or prevent (or attempt to prevent) another User from accessing or using the Website, App, or Services, or disrupt, interfere and/or overburden the Website, App, or the Services; 8.2.3. use any robot, spider, or other automated means to access, scrape or scan the Website in violation of these T&Cs, App, and/or the Services or frame or mirror any part of the Website, App, and/or the Services; 8.2.4. use any data mining or data gathering or extraction methods, or otherwise collect information about Fantasy Friends, and/or the Services in violation of these T&Cs and/or its Users; 8.2.5 send viruses, worms, malware, ransomware, junk email, spam, chain letters, phishing emails, unsolicited messages, promotions or advertisements of any kind and for any purpose; 8.2.6. attempt to probe, scan, compromise or test the vulnerability of the Website, App, the Services, system or network or breach any security or authentication; 8.2.7. modify, adapt, translate, reverse engineer, disassemble or decompile any part of the Website, App, and/or the Services or create derivative works; 8.2.8. decompile, disassemble or reverse engineer, or determine any source code, algorithms, methods, or techniques of the Website, App, and/or the Services; 8.2.9 resell, sublicence, rent, lease, offer or otherwise commercialize any Fantasy Friends offering, product and/or feature or infringe Fantasy Friends’s intellectual property rights on the Website, App and its components; 8.2.10 use data collected from the Services for any commercial activity; violate any applicable laws, regulations or rules (including these Terms and Conditions and any applicable Additional Terms); 8.2.11 remove or alter any copyright, trademark, confidentiality or other proprietary notices, designations, or marks from the Website, App, and/or Services; 8.2.12 use the Services for money laundering or other illicit financial activities; 8.2.13 use the Website, App, and/or the Services for any illegal or unauthorized purpose. 8.3 Exceptions. Except where explicitly stated by these Terms and Conditions or Additional Terms, or as expressly permitted by a contractual agreement between you and Fantasy Friends, you may not derive or extract data, content and/or any other information from the Website, App, Services, and/or Game.
9. Suspicious Activity and Violations
9.1. Suspicious Activity. 9.1.1 Reporting Suspicious Activity. We welcome you to report any fraudulent or illegal activities of other Users. Fantasy Friends in its sole discretion reserves the right to enquire into account activity considered suspicious and limit their access to the Services or Game and/or temporarily suspend their User account during such investigation. If you would like to report suspicious activity, you may contact the Support Team via the Help Center at www.FantasyFriends.xyz Any reporting will be kept strictly confidential and not disclosed to a third party, unless (i) to the extent required by applicable law or regulation, or (ii) pursuant to a subpoena or order of a court or regulatory, self-regulatory or legislative body of competent jurisdiction, or (iii) in connection with any regulatory report, audit, or inquiry, or (iv) where requested by a regulator. 9.1.2. Investigations. Fantasy Friends reserves the right to enquire into account activity considered suspicious and limit your access to the Services or Game and/or temporarily suspend your User account during such investigation, including where such activity has been flagged by other Users. Where Fantasy Friends has contacted you concerning suspicious activity you will provide any requested information. 9.2. Violation of these Terms and/or Any Applicable Additional Terms. You shall not use the Website, App, Services, including the Game, and/or your User account in any way that violates these Terms or any applicable Additional Terms. Fantasy Friends reserves the right to limit a User account from accessing parts of the Services, temporarily suspend a User account and/or permanently suspend a User account where such User is suspected of violating or has actually violated these Terms and/or any other applicable Additional Terms. 9.2.1. Service Limits. 9.2.1.1 Game Ineligibility. We reserve the right to temporarily exclude you from a Tournament and/or remove you from any Tournament(s) you are participating in if you are suspected of violating or have violated these Terms and Conditions, and/or any other applicable Additional Terms. 9.2.1.2 Reward Ineligibility. We reserve the right to withhold any prize(s) you have won in the event you are suspected of violating or have violated the Terms and Conditions and/or any other applicable Additional Terms. 9.2.2. Account Suspension. We reserve our right to suspend a User account temporarily or permanently. Your User account will be suspended including but not limited to where you violate or are suspected to have violated this section or any part of these Terms and/or other applicable Additional Term. Following such suspension or limit, we will promptly notify you.
10. Indemnification & Disclaimer
10.1.1. To the fullest extent permitted by applicable law, you will indemnify and hold harmless Fantasy Friends, its affiliates, officers, agents, consultants, vendors, equity holders, employees, successors and assigns against any claims, liabilities, damages, awards, judgments, losses, liabilities, obligations, penalties, fees, expenses (including, without limitation, attorneys’ fees) and costs in connection with: Your violation of these Terms and/or other applicable Additional Terms; Your use or misuse of the Services; Your violation of any third-party rights or your obligations to any third party, including the Third-Party Rights of any relevant Third-Party Collectible Elements and/or other Users; Your violation of any applicable law, regulation, or rule; and/or Your negligence, gross negligence and/or willful misconduct. 10.2.0 Disclaimer You expressly understand and agree that access to and use of the Services is at your own risk, and that the Website and Services are provided on an "as is" and "as available" basis without warranty of any kind, either express or implied, to the extent permitted by applicable law. To the fullest extent permitted by applicable law, we make no representation or warranty that (i) access to, or use of the Services will be uninterrupted, timely, secure or error-free; (ii) usage data provided by the Services or on the Website or App will always be accurate; and/or (iii) the Services are free of malware or other harmful components. 10.2.1 To the fullest extent allowed under applicable law, Fantasy Friends disclaims all other warranties, representations and/or conditions except to the extent that they are expressly set out in the Terms, express or implied, including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, title and/or non-infringement. Fantasy Friends will not be responsible for any loss or action taken or taken in reliance on the Website, the Services, information, or data presented therein or in connection with, or on any third-party website. Fantasy Friends disclaims all responsibility for any and all losses that may be incurred by Users as a result of using blockchain and/or digital asset wallets. Additionally, no advice, data, or information, whether presented in writing or orally and/or whether presented by Fantasy Friends, associated parties or through the Website or Services, will create any warranty or representation. 10.2.2 Where applicable law does not allow the exclusion of implied warranties in consumer contracts, parts or all of the above clauses do not apply to the relevant Users. IF THE LAW OF THE COUNTRY IN WHICH YOU RESIDE DOES NOT PERMIT THE EXCLUSIONS OF LIABILITY SET OUT IN THIS SECTION, THESE EXCLUSIONS DO NOT APPLY.
11. Liability
11.1 General. To the fullest extent permitted by applicable law Fantasy Friends disclaims all liability arising out of or in connection with the Website and/or Services. We shall not be held liable for: Your reliance on any statement, information and/or data made available on the Website, the Service, and/or any social media platform or blog operated by Fantasy Friends; Loss of Users’ Content, data, Local Currency, or Cryptocurrencies; Temporary or permanent account suspensions; Direct or indirect damage resulting from the use of the Services; Interruptions in the Website or Services, and/or any losses caused by errors, bugs, breaches and/or malfunctions; Technologies provided by third parties; A malfunction or cyberattack; The actions of any third party or by a User’s use of the Website and/or Services; Any case of force majeure, including a failure of the blockchain protocol used to run the Services not caused by Fantasy Friends. 11.1.1. you understand accept the risks inherent in the provision of information, online internet exchanges and experimental technologies such as the blockchain and tokens, and agree that Fantasy Friends shall not be liable for any failure of the foregoing technologies and/or breach of the security of the Website and/or Services, unless caused by gross negligence on the part of Fantasy Friends, except in relation to any liability that cannot be excluded or limited by law, Fantasy Friends’s maximum, aggregate liability to Licensor under and in connection with this these Terms is limited to direct damages in an amount not to exceed the sum(s) actual paid by the individual, relevant User to Fantasy Friends in the twelve (12) months prior to the claim giving rise to such liability. 11.2. User Content. Fantasy Friends is a hosting provider of the content released by the Users and or any content exchanged between Users. Such content is neither attributable to Fantasy Friends nor does it represent Fantasy Friends’s opinion. Fantasy Friends cannot be held liable for any third-party content such as the content released by Users and/or any content exchanged between Users. Fantasy Friends disclaims all responsibility for any and all content as well as the nature of such content exchanged between Users.
12. Account Deletion and Termination
12.1 Account Deletion. 12.1.1. You may terminate these T&Cs at any time by requesting the deletion of your User account and discontinuing your use of the Website, App, and Services. 20.1.2. Fantasy Friends may, upon notice to you, terminate your User account at any time if you are in breach of these Terms or any applicable Additional Terms. Where your User account is terminated, we will provide the reasons for the termination. We may suspend your User account prior to sending the communication if we need to take immediate action. We will not be liable to you or to any other person as a result of any such suspension or termination. 12.1.3. Fantasy Friends may at any time, for any reason and in its sole discretion, terminate these Terms and suspend and/or discontinue all or part of the Services without notice. Users agree, to the fullest extent permitted by law, that any suspension or termination of access to the Services may be without notice, and that Fantasy Friends shall not be liable for the consequences of any such suspension or termination.
13. Amendment
13.1. We reserve the right to modify or amend these Terms, and/or any Additional Terms at any time. 13.2. The applicable version of the Terms is the latest version published on the date of use of the Services.
14. Miscellaneous
14.1. Failure by Fantasy Friends at any time to exercise its rights under these Terms shall not constitute the waiver of such right. 14.2. If any term, provision, or section of these Terms is held invalid or unenforceable, then that term, provision or section will be deemed removed from these Terms and will not affect the validity or enforceability of any remaining part of such provision, section or any other term, provision or section of these Terms, provided that the essential provisions of these Terms remain in effect. 14.3. All obligations which by their nature should or are intended to survive the termination or expiration of these Terms shall continue in full force and effect, regardless of the termination of these Terms by you or Fantasy Friends. 14.4. The Website may periodically feature sweepstakes, contests, raffles, or similar promotions (“Promotions”) via the Website. Such Promotions may be governed by rules separate from these Terms. In the event Promotion rules conflict with these Terms, the Promotion rules shall control, but solely in connection with the Promotion.
15. Issue Resolution, Jurisdiction and Applicable Law
15.1. Issue Resolution. 15.1.1. Applicable law. These T&Cs, the Terms of Use and any applicable Additional Terms are governed by Singaporean law. However, if you are a consumer and resident of any European Union country you will benefit from mandatory provisions of, and legal rights available to you under, the laws of that country. Nothing in these Terms affects your rights as a consumer to rely on these local law mandatory provisions and legal rights. 15.1.2. Jurisdiction. Where allowed or required by applicable law, you agree that the courts of Singapore will have exclusive jurisdiction. However, if you are a consumer and a resident of any other European Union member, you and Fantasy Friends may also bring proceedings in that country.
